TERMS AND CONDITIONS
GENERAL TERMS AND CONDITIONS OF SALE
1. Purpose
These General Terms and Conditions of Sale (GTCS) govern all services, designs, orders, and sales carried out by Maison Donatelli. All orders imply the client's full, complete, and unconditional acceptance of these terms and conditions.
2. Orders and Confirmation
All orders become final upon the client's acceptance of the quotation and payment of the required deposit. Signing the quotation or accepting it in writing constitutes a firm and irrevocable commitment by the client to all agreed terms, including designs, services, deadlines, prices, and conditions of performance.
3. Bespoke Creations
All Maison Donatelli designs and creations are made exclusively to measure, based on the specifications, measurements, and information provided by the client.
The client undertakes to provide accurate information and to promptly notify Maison Donatelli of any changes to their measurements or body shape occurring between fittings and delivery. Maison Donatelli shall not be held liable for fitting issues resulting from inaccurate information or unreported physical changes.
4. Fittings, Appointments, and Travel
Appointments, fittings, collections, and deliveries are organized from Paris.
At the client's request, these services may be provided in any other city or country, subject to Maison Donatelli's prior approval.
All travel, transportation, accommodation, logistical, and other expenses arising from such specific requests shall be borne entirely by the client.
5. Prices and Payment Terms
Prices are quoted in euros (€) and are payable in full, without any deduction or set-off.
A deposit equal to 50% of the total order value is due upon signing the quotation. The remaining balance must be paid in full before the creations are handed over, dispatched, or delivered.
Maison Donatelli reserves the right to suspend the execution of any order in the event of late or non-payment.
6. Order Amendments
Any request to amend a confirmed order will be subject to prior review. Depending on the scope of the requested changes, the price, deadlines, and conditions of performance may be revised.
No amendments will be made unless the corresponding additional quotation has been accepted in writing.
7. Cancellation
If the client cancels an order for any reason whatsoever, the deposit paid shall be definitively retained by Maison Donatelli as compensation for work undertaken, time spent, and expenses already incurred.
If the cancellation occurs after manufacturing has begun or at an advanced stage of production, Maison Donatelli may require payment for services already performed and materials already committed.
8. Inability to Perform
Should Maison Donatelli be prevented from performing all or part of an order for reasons beyond its control, it shall not be held liable.
Any amounts received for services not performed may be refunded to the client, without any additional compensation being payable.
9. Retention of Title
All creations, products, and goods delivered shall remain the exclusive property of Maison Donatelli until all amounts owed by the client have been paid in full, in accordance with applicable law.
10. Delivery and Transfer of Risk
Delivery times are provided for indicative purposes only and are determined according to manufacturing and organizational constraints. Maison Donatelli undertakes to make all reasonable efforts to meet the announced deadlines.
The risks associated with transportation shall pass to the client as soon as the creations are handed over to the carrier or made available for collection.
The client must inspect the products upon receipt and immediately report any irregularities or damage to the relevant carrier.
Transportation, packaging, insurance, customs duties, local taxes, and administrative formalities shall remain the responsibility of the client, unless otherwise agreed in writing.
11. Force Majeure
Maison Donatelli shall not be held liable for any delay or failure to perform resulting from a force majeure event or circumstances reasonably beyond its control, including, but not limited to, natural disasters, pandemics, labor disputes, war, administrative decisions, transportation disruptions, or the failure of an essential supplier.
The obligations affected shall be suspended for the duration of the event.
12. Tax Refunds and Export
Clients eligible for tax refund or export procedures undertake to strictly comply with all required administrative formalities.
Any failure to comply that results in the inability to obtain a tax refund or reimbursement of taxes shall be the client's sole responsibility.
13. Complaints and Returns
Any complaint relating to an order must be submitted in writing within a maximum period of eight (8) days following receipt of the creations.
No return, exchange, or refund shall be accepted without Maison Donatelli's prior written approval.
Bespoke, personalized, or made-to-order creations manufactured according to the client's specifications are neither returnable nor refundable, except where otherwise required by mandatory applicable law.
Authorized returns shall be shipped entirely at the client's own risk and expense.
14. Intellectual Property
All creations, drawings, designs, sketches, patterns, concepts, visual elements, photographs, and know-how developed by Maison Donatelli are protected under applicable intellectual property laws.
Any reproduction, adaptation, commercialization, distribution, or use, in whole or in part, without Maison Donatelli's prior written authorization is strictly prohibited and may result in legal proceedings.
15. Confidentiality
Maison Donatelli undertakes to maintain the confidentiality of information provided by its clients in connection with their orders.
The client likewise undertakes not to disclose any documents, sketches, drawings, creative processes, or confidential information belonging to Maison Donatelli.
16. Governing Law and Jurisdiction
These General Terms and Conditions of Sale are governed by French law.
Any dispute relating to their interpretation, performance, or validity that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Paris, even in the event of multiple defendants or third-party claims for indemnification.
